Arbsbuy LLC — Vendor Agreement (Legal Contract)

Effective Date: 22nd November, 2025

This Vendor Agreement (“Agreement”) is a legally binding contract between Arbsbuy LLC (“Arbsbuy”, “we”, “our”, or “the Platform”) and the individual or business registering as a seller (“Vendor”, “Seller”, “you”).

By creating a vendor account or listing products on https://arbsbuy.com, you accept this Agreement and agree to comply with all laws, marketplace rules, and platform standards.

1. Definitions

  • Vendor/Seller — Any individual or business listing or selling goods on Arbsbuy Marketplace.
  • Customer/Buyer — Any person purchasing products through the platform.
  • Marketplace — The online platform operated by Arbsbuy LLC enabling vendors to sell products.
  • Products — Any item listed by vendors, including physical goods, handmade items, POD items, gemstones, and digital goods.

2. Vendor Eligibility

To become a vendor, you must:

  • Be 18 years or older
  • Provide valid government identification
  • Provide accurate business and banking details
  • Have no history of fraud, IP violations, or marketplace bans
  • Comply with all Arbsbuy Marketplace policies

3. Vendor Obligations

As a vendor on Arbsbuy, you agree to:

  • Provide truthful product listings
  • Ship orders on time
  • Honor warranty and return obligations
  • Respond to customer inquiries within 48 hours
  • Maintain accurate inventory
  • Comply with all legal requirements in your region

4. Product Listing Rules

4.1 Listing Requirements

  • Clear and truthful product titles
  • Accurate descriptions and specifications
  • High-quality images (no stolen content)
  • Correct pricing and stock availability
  • Certification for gemstones (if applicable)

4.2 Prohibited Items

Vendors may not list:
  • Counterfeits, replicas, or trademark-infringing items
  • Weapons, drugs, or restricted items
  • Adult content or explicit materials
  • Dangerous or banned chemicals
  • Fake gemstones or manipulated jewelry
  • Stolen goods

5. Product Authenticity & Quality Standards

Vendors must ensure:

  • Products are brand new unless marked “refurbished”
  • Gemstones & jewelry are accurately described
  • No misrepresentation of origin, clarity, weight, or material
  • No expired, used, or opened beauty items
  • No counterfeit electronics or accessories
  • Proper packaging to avoid damage

Special Rules for Gemstones:

  • Certification required for certified stones
  • Accurate carat, dimensions, clarity, and treatment information
  • No lab-grown stones sold as natural

6. Order Processing & Shipping Requirements

Vendors must:

  • Ship orders within 1–3 business days
  • Provide valid tracking numbers within 24 hours
  • Use reputable carriers
  • Not include promotional or competitor material in packages
  • Ensure timely delivery

Failure to ship within deadlines may result in cancellation, penalties, or account suspension.

7. Returns, Refunds & Customer Service

Vendors must comply with Arbsbuy’s Returns & Refunds Policy and:

  • Accept returns for defective, damaged, or incorrect items
  • Respond to return requests within 48 hours
  • Inspect returned items fairly
  • Approve refunds for eligible cases
  • Provide return address when requested

Vendors may NOT refuse returns that qualify under Arbsbuy policy.

8. Payments, Commissions & Payouts

  • Arbsbuy deducts commission from each sale automatically
  • Payouts are issued weekly or monthly based on vendor tier
  • Payout delays may occur due to disputes or fraud checks
  • Vendor must provide accurate bank details

Arbsbuy retains the right to hold funds temporarily during investigations.

9. Intellectual Property Compliance

Vendors must ensure:

  • No copyrighted images without permission
  • No brand-name or logo misuse
  • No fake or counterfeit products
  • No stolen or duplicated content

Violations may result in account suspension and legal action.

10. Fraud Prevention & Security

Prohibited actions include:

  • Fake tracking numbers
  • Listing counterfeit items
  • Canceling orders to manipulate metrics
  • Sending wrong or low-quality items intentionally
  • Review manipulation or fake reviews
  • Using customer information outside order fulfillment

Fraudulent vendors may face permanent bans and legal prosecution.

11. Vendor Performance Standards

  • On-time shipping rate: 95%+
  • Cancellation rate: below 2%
  • Return rate: below 5%
  • Customer reply time: under 48 hours
  • Few or no complaints

Vendors failing to meet standards may be placed on probation or suspended.

12. Suspension & Termination

Arbsbuy may suspend or terminate vendor accounts for:

  • Policy violations
  • Fraud or misrepresentation
  • Late shipments or unfulfilled orders
  • High dispute rates
  • Counterfeit goods
  • Legal or compliance issues

Arbsbuy reserves the right to withhold payouts during investigations.

13. Data Protection & Privacy

Vendors must comply with:

  • Arbsbuy Privacy Policy
  • GDPR (if serving EU customers)
  • No misuse or unauthorized storage of customer data
  • No contacting customers outside the platform

14. Amendments

Arbsbuy LLC may modify this Agreement at any time. Changes take effect immediately upon posting.
