Marketplace Seller Agreement

Effective Date: 22 November 2025

This Vendor Agreement (“Agreement”) is a legally binding contract between Arbsbuy LLC (“Arbsbuy,” “Platform,” “we,” “us”) and any individual or business registering as a seller (“Vendor,” “Seller,” “you”).

By creating a vendor account or listing products on https://www.arbsbuy.com, you agree to be bound by this Agreement.

1. Marketplace Relationship

Arbsbuy operates solely as an online marketplace platform. Vendors sell products directly to customers. Arbsbuy does not manufacture, own, inspect, warehouse, or guarantee vendor products.

Each Vendor acts as an independent seller and is fully responsible for their products, fulfillment, compliance, warranties, and customer obligations.

2. Vendor Eligibility

• Minimum age of 18
• Valid identity and business information
• Accurate banking details
• No prior marketplace bans or fraud history

Arbsbuy reserves the right to approve, reject, suspend, or terminate vendor accounts at its sole discretion.

3. Vendor Responsibilities

Vendors agree to:

• Provide truthful product listings
• Fulfill orders promptly
• Honor warranties and returns
• Respond to customer inquiries
• Maintain accurate inventory
• Comply with all applicable laws and regulations

4. Product Standards & Prohibited Items

Vendors must not list:

• Counterfeit or trademark-infringing goods
• Illegal or restricted products
• Stolen items
• Adult or explicit material
• Dangerous or banned substances

Vendors are solely responsible for product authenticity, safety, labeling, and legal compliance.

5. Orders, Returns & Customer Service

Vendors must comply with Arbsbuy’s Returns & Refunds Policy and provide reasonable customer support.

Vendors may not refuse eligible returns or misuse return policies.

6. Payments, Fees & Fund Holds

• Marketplace commissions are deducted automatically
• Payout schedules are determined by Arbsbuy
• Funds may be temporarily withheld for disputes, chargebacks, or investigations

Vendors authorize Arbsbuy to offset refunds, penalties, or chargebacks from pending balances.

7. Intellectual Property

Vendors warrant they own or have legal rights to all content and products listed.

Vendors grant Arbsbuy a non-exclusive license to display listings for marketplace operation.

8. Data Protection

Vendor access to customer data is strictly limited to order fulfillment.

• No external marketing
• No data storage outside platform systems
• No unauthorized customer contact

Vendors must comply with applicable privacy laws and Arbsbuy’s Privacy Policy.

9. Indemnification

Vendors agree to indemnify and hold harmless Arbsbuy LLC from all claims, damages, losses, liabilities, and legal fees arising from:

• Vendor products
• Intellectual property violations
• Regulatory non-compliance
• Customer disputes
• Vendor misconduct

10. Fraud Prevention

Prohibited actions include false tracking, fake reviews, misrepresentation, or chargeback abuse.

Violations may result in permanent account termination and legal action.

11. Suspension & Termination

Arbsbuy may suspend or terminate vendors for policy violations, fraud, disputes, or reputational risk.

Outstanding funds may be held during investigations.

12. Limitation of Liability

Arbsbuy shall not be liable for indirect or consequential damages. Platform liability is limited to fees earned from the vendor during the preceding transaction.

13. Governing Law & Arbitration

This Agreement is governed by the laws of the State of Florida, United States.

Disputes shall be resolved by binding arbitration in Florida following good-faith negotiation.

14. Amendments

Arbsbuy may modify this Agreement at any time. Continued platform use constitutes acceptance.
